Real estate transactions and investments

  • Due diligence and legal support for clients ; real estate transactions (acquisitions/sales /partnerships) involving all types of assets (residential, offices, retail, industrial assets, warehouses, shopping centres, hotels, etc.), whether investing directly in asset deals or through real estate companies in share deals
  • Legal oversight of complex real estate transactions, such as real estate-related mergers and acquisitions, including joint ventures and partnerships
  • Working closely with her tax and regulatory team, Raïssa is able to deal effectively with all issues relating to the corporate aspects of collective real estate investments (OPCI, SCPI, real estate club deals)

Leases, property management and co-ownership

  • Drafting and negotiation of all types of rental agreements, including commercial leases, off-plan leases and residential leases, representing both landlords and tenants
  • Legal assistance in all matters relating to the management of real estate assets
  • Land issues: boundary marking, easements, joint ownership, co-ownership, acquisitive prescription of land (usucapion), private nuisances, etc.
  • Co-ownership law: advice and litigation in connection with general meetings, disputes between co-owners, and between property manager and co-owners, collection/contestation of charges, private nuisances, amicable and court expert. 

Development, promotion, construction

  • Legal support for clients, real estate development, planning, construction, restructuring or rehabilitation projects, both in terms of project design and structuring, and in terms of their contractual aspects
  • Support for clients throughout the construction process, from pre-construction survey procedure until the expiry of legal warranties
  • Assistance with any technical, financial or insurance issues that may arise during the construction phase between the various parties involved
  • Expertise in the event of problems or claims arising in connection with the works
  • Negotiation and drafting of off-plan sale (VEFA) and property development contracts

Litigation - Dispute resolution

Expertise in litigation and procedure, particularly civil, whether in real estate law (pre-construction survey procedure, developers liability, lease and real estate sales litigation, etc.) or in various civil and commercial disputes.

ESG, CSR, Sustainable Development

Legal follow-up on issues relating to socially responsible investment and sustainable development, in close collaboration with colleagues specializing in public law, in particular with the implementation of environmental annexes and clauses, negotiation of green and impact leases, regulatory assistance for real estate players in ESG matters, compliance with regulations on industrial activities, water law, waste, climate change, natural areas, fauna and flora.
